Terms of Service

These Terms of Service ("Terms") govern your use of the website sanapackaging.com (the "Site") and any related services provided by Sana Packaging, Inc. ("Sana Packaging," "we," "us," or "our"). By accessing or using our Site, purchasing our products, or using any of our services (including our mobile messaging service), you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our Site or services.

1. Items Purchased

Seller agrees to sell, and Buyer agrees to buy, the following products (the "Goods") in accordance with the terms and conditions of this Contract.

2. Title & Risk of Loss

Title to and risk of loss for the Goods shall pass to the Buyer upon delivery F.O.B. at the Seller's manufacturer to a shipping agent of the Buyer, including a common carrier, notwithstanding any prepayment or allowance of freight by the Seller.

3. Payment Terms

Payment shall be made to Sana Packaging via Cashier’s Check, ACH payment, or Wire transfer, under the following conditions:

  • Buyer must deliver payment of 100% of the total amount owed no later than 3 business days after the execution of this Contract.
  • Late payments will accrue interest at 20% per annum or the maximum allowed by law, whichever is lower.

If Buyer fails to pay for the Goods when due, Sana Packaging reserves the right to cancel the Contract and/or seek legal remedies, including collection costs and attorney fees.

4. Delivery & Shipping

  • Seller will secure a shipping price quote for the Buyer and provide it in writing.
  • Buyer must pay for shipping within 3 days of receiving the quote before goods are shipped.
  • If delivery is delayed beyond 30 days from the estimated shipping date, Sana Packaging will issue a 10% discount as compensation.

5. Taxes

Buyer is responsible for paying all federal, state, and municipal taxes related to the purchase, excluding income taxes.

6. Warranties & Disclaimers

  • Limited Warranty: The Goods will conform substantially to the specifications provided by Sana Packaging.
  • Exclusion of Liability: SANA PACKAGING SHALL NOT BE LIABLE FOR INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Indemnification: Buyer agrees to indemnify and hold Sana Packaging harmless from claims, including trademark or copyright infringements, arising from the purchase, use, or resale of the Goods.

7. Inspection & Returns

  • Buyer has 15 days after receiving the Goods to report any defects and request a return.
  • If defects are confirmed, Sana Packaging will replace, repair, or refund the Goods.

8. Default & Remedies

  • Buyer’s failure to make payments, insolvency, or breach of contract may result in contract cancellation.
  • Sana Packaging may pursue legal action if Buyer defaults.

9. Force Majeure

Neither party is liable for failure to perform obligations due to causes beyond their control (e.g., natural disasters, government actions, labor disputes).

10. Arbitration Agreement

Any disputes arising from these Terms shall be resolved by binding arbitration in Boulder County, CO, per the rules of the American Arbitration Association (AAA).

11. Confidentiality

Both parties agree to keep any confidential business information private and not disclose it to third parties.

12. Notices

Official notices must be sent via certified mail to the addresses provided by each party.

13. Assignment

Buyer may not assign this Contract without written consent from Sana Packaging.

14. Mobile Terms of Service

14.1 Mobile Messaging Service

By subscribing to Sana Packaging’s SMS/text messaging service, you agree to these Mobile Terms:

  • You consent to receive recurring SMS/text messages from and on behalf of Sana Packaging at the mobile number you provided, even if registered on Do Not Call lists.
  • Messages may be sent via automatic telephone dialing systems.
  • Messages include order updates, account alerts, promotions, and marketing offers.

14.2 Costs & Frequency

  • Message frequency varies.
  • Message and data rates may apply. Check with your mobile provider for costs.
  • We do not charge for this Service.

14.3 Opt-Out & Customer Support

  • You may opt out anytime by texting STOP to +1 (844) 543-2773.
  • For customer support, text HELP or email info@sanapackaging.com.

14.4 Number Changes

  • If you change your mobile number, you must re-subscribe to continue receiving messages.

14.5 Carrier & Delivery Disclaimer

  • Wireless carriers are not liable for delayed or undelivered messages.
  • To the extent permitted by law, Sana Packaging is not responsible for failed delivery or errors in SMS messages.

15. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Colorado.

16. Entire Agreement & Amendments

These Terms constitute the entire agreement between Buyer and Sana Packaging, superseding any prior agreements. Any amendments must be in writing and signed by both parties.

17. Severability & Waiver

If any provision of these Terms is deemed invalid, the rest shall remain in effect. Failure to enforce any right does not waive future enforcement.
