These Terms of Service ("Terms") govern your use of the website sanapackaging.com (the "Site") and any related services provided by Sana Packaging, Inc. ("Sana Packaging," "we," "us," or "our"). By accessing or using our Site, purchasing our products, or using any of our services (including our mobile messaging service), you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our Site or services.

An existing written agreement approved by Sana for your account or order controls where its terms differ from these Terms. Changes to these Terms do not retroactively change agreed payment or order terms.

1. Items Purchased

Seller agrees to sell, and Buyer agrees to buy, the following products (the "Goods") in accordance with the terms and conditions of this Contract.

2. Title and Risk of Loss

Title and risk of loss pass to the customer when the manufacturer hands the goods to the carrier at the shipping origin, unless a different rule is agreed in writing or required by applicable law. This applies whether Sana or the customer books or prepays the freight. Sana handles carrier claims for shipments booked by Sana. Customers handle claims for shipments they book, and Sana assists with available shipment records. This risk allocation does not excuse incorrect goods, defects existing before carrier handoff, inadequate packing, or other confirmed Sana or supplier fulfillment errors.

3. Payment Terms

We accept credit cards and, by arrangement with our team, ACH, wire transfers and checks. Stock packaging and equipment orders must be paid before shipment unless Sana has approved credit terms for the customer. Custom-order deposits are set for each project and must cover Sana’s committed costs before production begins. The remaining custom-order balance is due before shipment unless Sana agrees otherwise in writing.

Credit terms require approval by the Sana team. Approved terms may be up to Net 30 and are specific to the account or order. New customers prepay until credit is approved. The agreed payment period and explicit due date are recorded on the invoice. Contact info@sanapackaging.com to discuss available payment arrangements.

Where expressly agreed in writing and permitted by applicable law, overdue balances accrue interest at a monthly rate of approximately 1.5309%, equivalent to a 20% effective annual rate, or the maximum lawful rate, whichever is lower. Interest starts the day after the agreed due date. We calculate interest for each overdue day using that day’s unpaid balance and prorate the monthly rate by the actual number of days in that calendar month. Payments reduce the balance from the date received. Accumulated interest is posted once monthly. Previously posted interest earns interest only where expressly agreed and legally permitted.

Sana may suspend further purchases on credit when an account is overdue and may pursue collection or legal remedies for unpaid amounts. Reasonable collection costs and attorney fees may be recoverable only where agreed and legally permitted. Exceptions require approval by the Sana team.

4. Delivery and Shipping

Shipping charges are shown at checkout or provided in the order or freight quote. Any separately quoted freight must be agreed before shipment. Sana works to fulfill orders promptly and will communicate material changes to an estimated shipping or delivery date. Dates are estimates unless Sana expressly agrees to a guarantee in writing. Warehouse and carrier delays can affect shipment timing, and carrier transit times are outside Sana’s control. Sana assists with shipment issues under the claim responsibilities described in the Return Policy.

5. Taxes

Buyer is responsible for paying all federal, state, and municipal taxes related to the purchase, excluding income taxes.

6. Warranties & Disclaimers

• Limited Warranty: The Goods will conform substantially to the specifications provided by Sana Packaging.
• Exclusion of Liability: SANA PACKAGING SHALL NOT BE LIABLE FOR INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• Indemnification: Buyer agrees to indemnify and hold Sana Packaging harmless from claims, including trademark or copyright infringements, arising from the purchase, use, or resale of the Goods.

7. Inspection and Returns

Our Return Policy at https://sanapackaging.com/pages/return-policy governs ordinary returns, unused equipment, custom products and delivery problems. Request approval for a qualifying ordinary packaging or unused-equipment return within 30 calendar days of delivery. Report visible transit damage or shortages at delivery and concealed damage or quantity discrepancies as soon as possible after discovery. Report an incorrect product within 30 calendar days of delivery and promptly once discovered. These ordinary return and reporting rules do not replace applicable product or equipment warranty coverage.

8. Default and Remedies

Failure to pay an agreed amount when due, insolvency or another material breach may result in suspension of credit, cancellation where permitted, or collection or legal action. Interest and recovery costs remain subject to the written agreement and applicable law. Sana’s team may approve an exception. Existing agreed order obligations continue to apply.

9. Force Majeure

Neither party is liable for failure to perform obligations due to causes beyond their control (e.g., natural disasters, government actions, labor disputes).

10. Arbitration Agreement

Any disputes arising from these Terms shall be resolved by binding arbitration in Boulder County, CO, per the rules of the American Arbitration Association (AAA).

11. Confidentiality

Both parties agree to keep any confidential business information private and not disclose it to third parties.

12. Notices

Official notices must be sent via certified mail to the addresses provided by each party.

13. Assignment

Buyer may not assign this Contract without written consent from Sana Packaging.

14. Mobile Terms of Service

14.1 Mobile Messaging Service

SMS enrollment requires a separate opt-in with the applicable disclosure. Providing a phone number for an order, quote, contact form or chat does not by itself enroll you in SMS marketing. Consent to marketing messages is not a condition of purchase. For marketing SMS, you consent to recurring messages from Sana Packaging, including messages sent through automated technology. You may withdraw consent at any time using the opt-out instructions below.

14.2 Costs & Frequency

• Message frequency varies.
• Message and data rates may apply. Check with your mobile provider for costs.
• We do not charge for this Service.

14.3 Opt-Out & Customer Support

• You may opt out anytime by texting STOP to +1 (844) 543-2773.
• For customer support, text HELP or email info@sanapackaging.com.

14.4 Number Changes

• If you change your mobile number, you must re-subscribe to continue receiving messages.

14.5 Carrier & Delivery Disclaimer

• Wireless carriers are not liable for delayed or undelivered messages.
• To the extent permitted by law, Sana Packaging is not responsible for failed delivery or errors in SMS messages.

15. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Colorado.

16. Existing Agreements and Amendments

These Terms and the applicable accepted order documents govern your purchase, subject to any written account or order agreement approved by Sana. Such an agreement controls where it conflicts with these Terms. We will honor existing customer agreements. Any amendment to an agreed account or order term must be documented in writing and accepted as required by the applicable agreement and law.

17. Severability & Waiver

If any provision of these Terms is deemed invalid, the rest shall remain in effect. Failure to enforce any right does not waive future enforcement.
